O Comprador deve
notificar por escrito o Vendedor da existência de cada
reclamação envolvendo o Produto (seja baseada em
contrato, violação da garantia, negligência,
responsabilidade objetiva, outro ato ilícito ou de outra
forma) no prazo de trinta (30) dias após o recebimento
da quantidade do Produto formando a base para a
reclamação ou expiração da vida útil aplicável, se
houver.
Buyer must give Seller written
notice of the existence of each claim involving Product
(whether based in contract, breach of warranty,
negligence, strict liability, other tort or otherwise)
within the earlier of thirty (30) days after receipt of the
quantity of Product forming the basis for the claim or
applicable shelf-life expiration, if any.
If (i) Buyer is in default
of performance of its obligations towards Seller and
fails to provide adequate assurance of Buyer’s
performance before the date of scheduled delivery; or
(ii) if Seller has reasonable doubts with respect to
Buyer’s performance of its obligations and Buyer fails
to provide to Seller adequate assurance of Buyer’s
performance before the date of scheduled delivery and
in any case within thirty (30) days of Seller’s demand
for such assurance; or (iii) if Buyer becomes insolvent
or unable to pay its debts as they mature, or goes into
liquidation or any bankruptcy proceeding shall be
instituted by or against Buyer or if a trustee or receiver
or administrator is appointed for all or a substantial part
of the assets of Buyer or if Buyer makes any
assignment for the benefit of its creditors; or (iv) in
case of non-compliance of Buyer with any law, statute
ordinance, regulation, code or standard (“Laws and
Standards”), then Seller may by notice in writing to
Buyer, without prejudice to any of its other rights: (a)
demand return and take repossession of any delivered
Products which have not been paid for and all costs
relating to the recovery of the Products shall be for the
account of Buyer; and/or (b) suspend its performance
or terminate its order confirmation for pending delivery
of Products unless Buyer makes such payment for
Products on a cash in advance basis or provides
adequate assurance of such payment for Products to
Seller.

El Comprador debe

obligaciones del Comprador y este no proporciona
una garantía adecuada del cumplimiento antes de la
fecha de entrega programada y en cualquier caso
dentro de los treinta (30) días posteriores a la
solicitud del Vendedor para tal garantía; o (iii) si el
Comprador se vuelve insolvente o no puede pagar sus
deudas a medida que vencen, o entra en liquidación
o algún procedimiento de quiebra sea iniciado por o
contra el Comprador o si se nombra un síndico o
receptor o administrador para la totalidad o una parte

Ostajan tulee ilmoittaa Myyjälle kirjallisesti jokaisesta
vaatimuksesta liittyen Tuotteeseen (riippumatta siitä perustuuko se

vastuuseen, muuhun oikeudenloukkaukseen tai johonkin muuhun

umpeutumisesta, riippuen siitä kumpi näistä tapahtuu aikaisemmin.
i) Jos Ostaja ei suorita
velvollisuuksiaan Myyjää kohtaan eikä tarjoa riittävää vakuutta
Ostajan suorituksesta ennen suunniteltua toimituspäivää; tai (ii)
Myyjällä on kohtuullisia epäilyksiä Ostajan velvollisuuksien
suorittamiseen liittyen eikä Ostaja tarjoa Myyjälle riittävää vakuutta
Ostajan suoritukseen liittyen ennen suunniteltua toimituspäivää ja
joka tapauksessa kolmenkymmenen (30) päivän kuluessa Myyjän
tällaista vakuutta koskevasta vaatimuksesta; tai Ostajasta tulee
maksukyvytön tai se ei voi maksaa velkojaan niiden erääntyessä, tai
hakeutuu saneeraukseen tai asetetaan konkurssiin tai jos Ostaja tekee
luovutuksen velkojiensa hyväksi; tai (iv) jos Ostaja ei noudata lakia,
asetuksia, sääntöjä tai standardeja (”Lait ja standardit”), Myyjä voi
kirjallisella ilmoituksella Ostajalle, tämän vaikuttamatta muihin
Myyjän oikeuksiin, (a) vaatia sellaisten toimitettujen Tuotteiden
palauttamista ja ottaa Tuotteet haltuun, joita ei ole maksettu ja Ostaja

A Vevőnek írásban kell értesítenie az Eladót minden olyan igény létezéséről, amely a
Termékkel kapcsolatos (legyen az szerződésen, garancia megszegésén, gondatlanságon, szigorú
felelősségen, egyéb mulasztáson vagy máson alapuló), a Termék átvételét követő harminc (30) napon
belül, vagy az alkalmazandó lejárati idő lejárta előtt, attól függően, melyik a korábbi.
Amennyiben (i) a Vevő nem teljesíti kötelezettségeit az Eladóval
szemben és nem biztosít elegendő biztosítékot a Vevő teljesítésére a tervezett szállítási időpont előtt;
vagy (ii) ha az Eladó ésszerű kételyekkel rendelkezik a Vevő kötelezettségeinek teljesítésével
kapcsolatban és a Vevő nem biztosít az Eladónak elegendő biztosítékot a Vevő teljesítésére a tervezett
szállítási időpont előtt, és egyéb esetekben az Eladó ilyen biztosíték iránti igényétől számított harminc
(30) napon belül; vagy (iii) ha a Vevő fizetésképtelenné válik vagy nem képes tartozásait esedékességük
idején megfizetni, vagy felszámolásba kerül, vagy bármilyen csődeljárás indul a Vevő ellen, vagy ha
gondnok vagy vagyonkezelő vagy csődgondnok van kinevezve a Vevő vagyonának egészére vagy
jelentős részére, vagy ha a Vevő bármilyen megállapodást köt hitelezői javára; vagy (iv) abban az
esetben, ha a Vevő nem felel meg bármely törvénynek, statútumnak, rendeletnek, szabályozásnak,
kódexnek vagy jogi normának („Törvények és Normák”), akkor az Eladó írásban értesítve a Vevőt, más
jogai sérelme nélkül: (a) követelheti a kifizetetlen Termékek visszaszállítását és visszaszolgáltatását, és
minden a Termékek visszaszállításával kapcsolatos költség a Vevő terhére esik; és/vagy (b)
felfüggesztheti teljesítését vagy megszüntetheti a függőben lévő Termékek szállítására vonatkozó
rendelés visszaigazolását, kivéve, ha a Vevő ilyen Termékekért készpénz előre fizetés alapján fizet, vagy
biztosítja az Eladó számára a Termékekért való ilyen fizetésre vonatkozó megfelelő biztosítékot.

Kupující je povinen písemně oznámit Prodávajícímu existenci jakéhokoli nároku týkajícího se Výrobku
(ať už ze smlouvy, porušení záruky, z nedbalosti, objektivní odpovědnosti, jiného deliktu nebo jinak) do třiceti (30) dnů po obdržení
Výrobku, který je předmětem reklamace, nebo do uplynutí příslušné doby spotřeby, je-li stanovena, a to podle toho, co nastane
dříve.
Pozastavení a ukončení
Pokud (i) Kupující neplní své závazky vůči Prodávajícímu a neposkytne mu odpovídající záruku plnění před datem plánované
dodávky; nebo (ii) pokud má Prodávající důvodné pochybnosti o plnění závazků ze strany Kupujícího a Kupující neposkytne
Prodávajícímu odpovídající záruku plnění před datem plánované dodávky, a to do třiceti (30) dnů od výzvy Prodávajícího k
poskytnutí takové záruky; nebo (iii) pokud se Kupující stane insolventním nebo neschopným splácet své dluhy v době jejich
splatnosti, nebo vstoupí do likvidace, nebo bude zahájeno konkurzní řízení ze strany Kupujícího nebo proti němu, nebo pokud bude
jmenován správce či nucený správce celého majetku Kupujícího nebo jeho podstatné části, nebo pokud Kupující provede jakýkoli
převod ve prospěch svých věřitelů; nebo (iv) v případě, že Kupující nedodrží zákon, vyhlášku, nařízení, předpis nebo normu (dále
jen „Zákony a normy“), může Prodávající písemným oznámením Kupujícímu, aniž by byla dotčena jeho jiná práva: (a) požadovat
vrácení dodaných Výrobků, které nebyly zaplaceny, přičemž veškeré náklady spojené s vymáháním Výrobků jdou na účet
Kupujícího; a/nebo (b) pozastavit své plnění nebo vypovědět potvrzení objednávky na čekající dodávku Výrobků, pokud Kupující
neprovede platbu za Výrobky v hotovosti předem nebo neposkytne Prodávajícímu odpovídající záruku takové platby.

Buyer must give Seller written notice of the existence of each claim
involving Product (whether based on breach of contract, breach of warranty, negligence, strict liability, other tort or
otherwise) within the earlier of thirty (30) days after receipt of the quantity of Product forming the basis for the claim or
applicable shelf-life expiration, if any.
i) If Buyer is in default of performance of its obligations towards Seller and fails to provide
adequate assurance of Buyer’s performance before the date of scheduled delivery; or (ii) if Seller has reasonable doubts
with respect to Buyer’s performance of its obligations and Buyer fails to provide to Seller adequate assurance of Buyer’s
performance before the date of scheduled delivery and in any case within thirty (30) days of Seller’s demand for such
assurance; or (iii) if Buyer becomes insolvent or unable to pay its debts as they mature, or goes into liquidation or any
bankruptcy proceeding shall be instituted by or against Buyer or if a trustee or receiver or administrator is appointed for
all or a substantial part of the assets of Buyer or if Buyer makes any assignment for the benefit of its creditors; or (iv) in
case of non-compliance of Buyer with any law, statute ordinance, regulation, code or standard (“Laws and Standards”),
then Seller may by notice in writing to Buyer, without prejudice to any of its other rights: (a) demand return and take
repossession of any delivered Products which have not been paid for and all costs relating to the recovery of the Products
shall be for the account of Buyer; and/or (b) suspend its performance or terminate its order confirmation for pending
delivery of Products unless Buyer makes such payment for Products on a cash in advance basis or provides adequate
assurance of such payment for Products to Seller.
