O vendedor não estará sujeito a qualquer responsabilidade ou prejuízos por atraso no desempenho ou pelo não desempenho do Produto em função de incêndio, inundação, gelo, catástrofe natural, pandemia, greve, bloqueio, escassez de trabalho, disputa ou problema trabalhista, acidente, motim, ato de autoridade governamental, caso fortuito, guerra, ato de terrorismo (incluindo ciberterrorismo e ataques de ransomware) ou outras contingências e/ou circunstâncias além de seu controle razoável, interferindo na produção, fornecimento, transporte ou consumo dos Produtos ou com o fornecimento de quaisquer matérias-primas usadas em conexão com o mesmo, ou a incapacidade do Vendedor de comprar matérias-primas a um preço comercialmente razoável, ou se o desempenho for contrário a, ou constituir uma violação de, qualquer regulamento, lei ou exigência de um autoridade governamental e as quantidades assim afetadas possam ser eliminadas pelo Vendedor deste contrato sem responsabilidade ou danos ao Vendedor, mas, de outra forma, este contrato permanecerá inalterado. Seller shall not be subject to any liability or damages for delay in performance or non- performance as a result of fire, flood, ice, natural catastrophe, pandemic, strike, lockout, labor shortage, labor dispute or trouble, accident, riot, act of governmental authority, act of God, war, act of terrorism (including cyber-terrorism and ransomware attacks), or other contingencies and/or circumstances beyond its reasonable control interfering with the production, supply, transportation, or consumption of the Products or with the supply of any raw materials used in connection therewith, or the inability of Seller to purchase raw materials at a commercially reasonable price, or if performance would be contrary to, or constitute a violation of, any regulation, law, or requirement of a recognized government authority, and quantities so affected may be eliminated by Seller from this contract without liability or damages to Seller, but this contract shall otherwise remain unaffected.

Seller shall not be subject to any liability or damages for delay in performance or non- performance as a result of fire, flood, ice, natural catastrophe, pandemic, strike, lockout, labor shortage, labor dispute or trouble, accident, riot, act of governmental authority, act of God, war, act of terrorism (including cyber-terrorism and ransomware attacks), or other unforeseen and impossible to resist contingencies and/or circumstances, interfering with the production, supply, transportation, or consumption of the Products or with the supply of any raw materials used in connection therewith, or the inability of Seller to purchase raw materials at a commercially reasonable price, or if performance would be contrary to, or constitute a violation of, any regulation, law, or requirement of a recognized government authority, and quantities so affected may be eliminated by Seller from this contract without liability or damages to Seller, but this contract shall otherwise remain unaffected. El Vendedor no estará sujeto a ninguna responsabilidad o perjuicios por el retraso en el cumplimiento o por el incumplimiento, como resultado de un incendio, inundación, helada, catástrofe natural, pandemia, huelga, cuarentena, escasez de mano de obra, conflicto o problema laboral, accidente, disturbios, acto de la autoridad gubernamental, acto de dios, guerra, acto de terrorismo (incluyendo el ciberterrorismo y los ataques de ransomware), u otras contingencias y/o circunstancias imprevistas e imposibles de resistir, que interfieran con la producción, suministro, transporte, o el consumo de los Productos o con el suministro de cualquier materia prima utilizada en relación con los mismos, o la incapacidad del Vendedor para comprar materias primas a un precio comercialmente razonable, o si el cumplimiento fuera contrario a, o constituyera una violación de, cualquier regulación, ley o requisito de una autoridad gubernamental reconocida.

Buyer shall indemnify, defend and save Seller harmless against any and all liability for Buyer Indemnity desempeño o no desempeño como resultado de incendio, inundación, nevada, catástrofe natural, pandemia, huelga, paro, escasez de mano de obra, conflicto laboral colectivo, accidente, disturbio, acto de autoridad gubernamental, acto de Dios, guerra, acto de terrorismo (incluido el ciberterrorismo y los ataques de ransomware), u otras contingencias y/o circunstancias más allá de su control razonable que interfieran con la producción, suministro, transporte o consumo de los Productos o con el suministro de cualquier materia prima utilizada en conexión con los mismos, o la imposibilidad del Vendedor de adquirir materias primas a un precio comercialmente razonable, o si el desempeño sería contrario o constituiría una violación de cualquier regulación, ley o requisito de una autoridad gubernamental reconocida, y las cantidades afectadas pueden ser eliminadas por el Vendedor de este contrato sin responsabilidad o daños para el Vendedor, pero este contrato de lo contrario permanecerá sin afectarse.
