TERMS AND CONDITIONS These Terms and Conditions govern the sale of Products to another (“Buyer”) by Avient Corporation and its affiliates (“Seller”). 1. تمام پیشکشیں خریدار کی جانب سے ان شرائط کو قبول کرنے پر واضح طور پر مشروط ہیں۔ کسی بھی آرڈر پر فروخت کننده کی پروسیسنگ واضح طور پر خریدار کی ان بشمول وه تمام شرائط جو آرڈر شرائط پر آمادگی اور قبول کرنے پر مشروط ہے، کی کسی بھی مطلوبہ شرائط و ضوابط سے مختلف ہیں یا اس کے علاوه ہیں۔ خریدار یا اس کی طرف سے کسی بھی خریداری کے آرڈر، دستاویز، ویب سائٹ یا دیگر مواصلت میں شامل کوئی بھی اضافی، مختلف یا دیگر شرائط اور/یا شرائط پر کننده کی جانب سے مسترد کیا جاتا ہے۔ ان شرائط اور معترض ہوکر اسے فروخت فروخت کے حوالے سے فریقین کے درمیان کسی بھی دوسری دستاویز کے تبادلے کے درمیان کسی دعوی کرده تنازعے کی صورت میں، یہ شرائط غالب ہوں گی۔ فریقین اس بات پر متفق ہیں کہ فروخت کننده کو خریدار کی طرف سے مقرر کرده خاص شرائط و ضوابط پر مزید اعتراض کرنے کی ضرورت نہیں ہے؛ کسی خریدار کی مخصوص شرائط و ضوابط پر اعتراض کرنے میں ناکامی ایسی کسی بھی شرائط و ضوابط کی قبولیت نہیں ہے۔ مزید برآں، فریقین اس بات پر متفق ہیں ضوابط کہ ان شرائط کے تحت فروخت کننده کی کارکردگی خریدار کی شرائط و میں سے کسی کی قبولیت نہیں ہوگی۔ فروخت کننده فروخت مصنوعات میں اچھے اور واضح خصوصی محدود ضمانت۔ ۔۲ ڻائیڻل کی ضمانت دیتا ہے جو فروخت کے تابع ہے ("پراڈکٹ") اور یہ کہ پراڈکٹ شپمنٹ کے وقت تجزیہ کے سرڻیفکیٹ، تعمیل کے سرڻیفکیٹ، یا جاتی ہے جس کے لیے خریدار کو واجب الادا رقم ادا نہ کی ہو۔ یہ ضمانتیں صرف خریدار تک فروخت کنندهنے ہوتی ہیں۔ فروخت کننده پروڈکٹ کے حوالے سے کسی بھی قسم کی کوئی نمائندگی تجارتی صلاحیت یا فڻنس کا احترام کرتے یا ضمانت نہیں دیتا، ظاہر یا مضمر، ہوئے کسی خاص مقصد کے لیے، چاہے اسے اکیلے استعمال کیا گیا ہو یا کسی دوسرے مواد کے ساتھ یا کسی بھی عمل میں، اور نہ ہی کسی فریق نے ان شرائط سے باہر کسی بیان پر انحصار کیا ہے۔ فروخت کننده کے فراہم کرده کسی بھی یاتی مواد کو "جیسا ہے" فراہم کیا جاتا ہے اس کی کارکردگی کے نمونے یا ترق بارے میں کوئی ضمانت نہیں ہے اور ایسے نمونے یا مواد کوئی نمونے کی ضمانت نہیں بنائیں گے، جس کو دستبردار کیا جاتا ہے۔ فروخت کننده نمونوں یا ترقیاتی مواد لاحیت اور فڻنس کے حوالے سے، کسی خاص مقصد کے لیے بشمول تجارتی ص کے کوئی ضمانت نہیں دیتا۔ ضمانتکی مضمر خریدار کو پراڈکٹ کی وصولی سخت ذمہ داری یا دوسری صورت میں)۔ ہو، وارنڻی کی خلاف ورزی، لاپرو خریدار کی طرف سے قابل اطلاق وقت کی پابندی کے اندر اس طرح کا نوڻس دینے میں ناکامی ایسے تمام دعووں کی قطعی اور غیر مشروط چھوٹ ہوگی۔ کسی بھی دعوے کے لیے خریدار کا واحد اور خصوصی چاره، فروخت کننده کے اختیار پر، رف سے ادا کرده پروڈکٹ کے لیے خریدار کی طرف سے ادا کی خریدار کی ط جانے والی قیمت کی واپسی یا کریڈٹ ہوگا جو کہ فروخت کننده کی ضمانتوں یا اس طرح کی پروڈکٹ کے متبادل کے مطابق نہ ہونے یا نقصان زده دکھایا گیا ہے۔ کسی کے اختیار هفروخت کنندبھی دعوے کے لیے خریدار کا واحد اور خصوصی چاره، پر، خریدار کی طرف سے ادا کرده پراڈکٹ کے لیے خریدار کی طرف سے ادا کی کی وارنڻیوں فروخت کنندهجانے والی قیمت کی واپسی یا کریڈٹ ہونا چاہیے جو کہ یا اس طرح کی پروڈکٹ کے متبادل کے مطابق خراب ہونے یا نہ ہونے کے لیے دکھایا گیا ہے۔ نقصانات کے لیے خریدار پر فروخت کننده کی پوری ذمہ داری، چاہے ضمانت کی خلاف ورزی ہو یا کسی اور وجہ سے، اور چاہے اس معاہدے میں خریدار کے اس طرح کے تحت ہو یا دوسری صورت میں، کسی بھی صورت کے نقصانات کے دعوے کو جنم دینے والے پروڈکٹ کے اس حصے پر لاگو قیمت خرید کے اس حصے سے تجاوز نہیں کرے گی۔ کسی بھی صورت میں فروخت کننده پر کسی بھی واقعاتی، نتیجہ خیز، بالواسطہ، مثالی، تعزیری یا خصوصی ہوگی۔ اگر خریدار کے پاس فروخت نقصانات کے لیے خریدار کی ذمہ داری نہیں کننده کے آرڈر کی تصدیق میں بیان کرده مصنوعات کے کسی خاص حصے کے حوالے سے کوئی مبینہ دعویٰ ہے، تو اس طرح کا مبینہ دعویٰ خریدار کو مصنوعات کی پوری ترسیل کو مسترد کرنے کا حق نہیں دیتا ہے۔ مبینہ دعوے، کرده پروڈکڻس کے موافق حصے کی ادائیگی کی اگر کوئی ہیں، خریدار کی ترسیل ذمہ داری کو متاثر نہیں کرتے ہیں۔ ایک مبینہ دعوے کے نوڻس کی وصولی پر، فروخت کننده مزید تمام ترسیل کو معطل کر سکتا ہے۔ خریدار پراڈکٹ کے دوسرے مادوں کے ساتھ مل کر یا کسی بھی دانشورانہ املاک۔ ۔۴ تیجے میں ہونے والے فریق ثالث کے دانشورانہ املاک کے عمل کے آپریشن کے ن حقوق کی خلاف ورزی کے خطرات کو قبول کرتا ہے نقصان نہیں پہنچائے گا۔ مصنوعات کی فروخت یا نمونے یا ترقیاتی مواد کی فراہمی، مضمرات کے ذریعے یا دوسری صورت میں، مصنوعات، نمونے، یا ترقیاتی مواد کی ساخت اور / یا ایپلی کیشنز سے متعلق کسی convey any license under any intellectual property right relating to the compositions and/or applications of the Products, sample, or developmental material, as applicable.
