The Board recognizes that some transactions, arrangements, and relationships present a heightened potential for conflicts of interest (or the perception of conflicts of interest) and, therefore, has adopted a written Related Person Transactions Policy (the “Policy”) governing these transactions. There were no related person transactions in 2021. We provide long-term incentive compensation to our Named Executive Officers to directly tie the interests of these individuals to the interests of our shareholders.

Late payments will bear interest at the greater of: (i) 1.5% per month or (ii) the maximum amount allowed by law under (a) Money Lenders Ordinance (Cap. 163) or (b) interest rate applicable to judgment debts, such interest to accrue on a daily basis from the date when payment becomes due until the date of actual payment. Buyer shall be obliged to accept the Products and pay the rate specified in the order confirmation for the quantity of Products delivered by Seller. Seller shall have the right to terminate an order confirmation with immediate effect if at any time prior to delivery, a person or group of persons who are unrelated to the persons controlling Buyer as of the date of the order confirmation, acquires control, through ownership of voting securities or otherwise, over Buyer.

Late payments will bear interest at the rate of 1.50% per month of delay. Buyer shall be obliged to accept the Products and pay the rate specified in the order confirmation for the quantity of Products delivered by Seller. Seller shall have the right to terminate an order confirmation with immediate effect if at any time prior to delivery, a person or group of persons who are unrelated to the persons controlling Buyer as of the date of the order confirmation, acquires control, through ownership of voting securities or otherwise, over Buyer.
