นโยบายน้ี มีผลใช้กับ Avient และบริ ษัทในเครื อของตน รวม ถึง เจ้าหน้าที่ พนักงาน ตัวแทน และบุคคลที่ สามที่ ดำ�เนินงานในนามของ Avient โดย Avient จะตัดสิ นโทษทางวินัยตอ่บุคคลที่ เข้าไปมี ส่วนร่วมในการ นโยบายฉบับน้ีกำ�หนดห้ามกิจกรรมทุจรติทางธุรกิจ รวมถึง แต่ไม่ จำ�กัดเพียง การตดิสินบน การจ่ายเงินคา่อำ�นวยความสะดวก เงิน ส่วนแบ่งโดยทุจรติ (Kickback) ของขวญัหรอืส่ิงบันเทิง ที่ ไม่เหมาะสมหรอืฟุ่มเฟือย หรอืส่ิงใดที่มีคา่ที่ ไดท้ำ�หรอืเสนอให้ เพื่อให้ ไดร้บัประโยชน์ทางธุรกิจอันมิชอบ กิจกรรมทุจรติทางธุรกิจ ประเภทน้ีมีผลใช้บังคบักับทุกคนที่เราดำ�เนินธุรกิจหรอืตอ้งการ ดำ�เนินธุรกิจดว้ย อย่างไรก็ดี ความสำ�คัญของการปฏิบัติตามกฎระเบียบ ไม่ว่าเราจะดำ�เนินธรุกิจอยู่ ในสถานที่ ใดก็ตาม กฎหมายตอ่ต้านการให้สิ นบน ตอ่ต้านการทุจริต (Anti-Bribery, Anti-Corruption หรื อ ABAC) จะนำ �มา บังคับในการดำ�เนินธรุกิจของเรา ซ่ึ งรวมถึง แต่ ไม่จำ�กัดเพียง กฎหมายตอ่ต้าน การทุจริตในต่างประเทศ (Foreign Corrupt Practices Act หรื อ FCPA) และ กฎหมายตอ่ต้านการให้สิ นบนของสหราชอาณาจักร (UK Bribery Act) แม้ว่า กฎหมายในแตล่ะประเทศจะมี เน้ื อหาแตกต่างกันออกไป แตก่ฎหมายเหล่าน้ี บัญญัติ ให้การมี ส่วนร่วมในการทุจริตหรื อการให้สิ นบนในรูปแบบใดก็ตามเป็ น เรื่ องผิดกฎหมาย และกำ�หนดให้บริ ษัทต่าง ๆ รายงานการละเมิดหรอืกรณีที่สงสัยวา่อาจเป็นการละเมิดดว้ยวธิีการที่เหมาะ สมโดยทันที กฎหมาย ABAC บัญญัติ ให้การที่บริษัทใดหรือบุคคลใดเสนอ สัญญา จ่ายเงิน หรืออนุมัติการจ่ายเงินส่ิงที่มีค่าใด ๆ ให้กับบุคคลใด ๆ 2 เพื่อรักษาหรือได้มา ซ่ึงธุรกิจ หรือได้รับความได้เปรียบทางธุรกิจที่ ไม่เหมาะสมอื่นใดเป็นเรื่องผิด กฎหมาย ข้อห้ามน้ีมีผลใช้บังคับไม่ว่าจะเป็นการเสนอหรือการจ่ายที่ ได้กระทำ� รบัความไดเ้ปรยีบที่ ไม่เหมาะสม กฎหมาย ABAC มีผลใช้บังคับในวงกว้างและสามารถตีความได้อย่างกว้าง ขวาง การละเมิดอาจเกิดขึน้ได้ แม้ว่า: • จะไม่มีเจตนาของการทุจรติ • มีเพียงการนำ�เสนอหรอืการสัญญาวา่จะมีการจ่ายเงิน ของขวญัหรอืการ ตอ้นรบัดแูล และไม่ไดเ้กิดขึน้จรงิ • มีการจ่ายเงินเกิดขึน้ แต่ไม่บรรลุผลตามวตัถุประสงคท์ี่ตอ้งการ • มีบุคคลที่นอกเหนือจากผู้ ให้ ไดร้บัผลประโยชน์ (ตวัอย่างเช่น การมอบ ธุรกิจให้กับบุคคลที่สาม) • หากบุคคลน้ันไดเ้สนอแนะหรอืเรยีกรอ้งการตดิสินบน • บรษัิทดงักล่าวรูสึ้กวา่ตนเองไดสิ้ทธิ์ ในการดำ�เนินการหรอืผลประโยชน์น้ัน แล้ว • เมื่อบุคคล “ควรรบัทราบ” วา่มีการตดิสินบนเกิดขึน้ 2 ซ่ึงรวมถึงเจ้าหน้าที่ของรัฐและ/หรือพนักงานของภาคเอกชน 2 การติดสิ นบนคืออะไร “การตดิสินบน” คอืการเสนอหรอืสัญญาวา่จะให้ หรอืการให้ หรอืการอนุญาต การให้ ส่ิงที่มีมูลคา่หรอืความไดเ้ปรยีบอื่นเพื่อโน้มน้าวการกระทำ�ของบุคคลอื่น สินบนยังอาจรวมถึงส่ิงตอ่ไปน้ี: • เงินสดและส่ิงที่เทียบเท่าเงินสด (บัตรของขวญัหรอืบัตรกำ�นัล) • ของขวญั ส่ิงบันเทิง และการเลีย้งรบัรองที่ ไม่มีวตัถุประสงคท์างธุรกิจที่ ชัดเจน หรอืเกินความจำ�เป็นอันสมเหตสุมผลทางธุรกิจ • การจ่ายเงินคา่เดนิทางหรอืจัดหาการท่องเที่ยวพักผ่อนให้ • การจ่ายเงินให้กับเจ้าหน้าที่ของรฐัเพื่อให้ละเวน้ข้อกำ�หนดทางศลุกากรที่มี ผลใช้บังคบัหรอืเพื่อเรง่รดัการจ่ายคนืภาษี • การให้บรกิารส่วนบุคคล ความช่วยเหลือพิเศษ เงินกู้ยืม • การเสนอการจ้างงานหรอืผลประโยชน์อื่นให้กับสมาชิกในครอบครวัหรอื เพื่อนของบุคคลน้ัน • การให้เงินช่วยเหลือพรรคการเมืองหรอืผู้สมัครชิงตำ�แหน่งทางการเมือง • การบรจิาคเงินหรอืการสนับสนุนทางการกุศล รายการอื่น ๆ ที่เห็นไดชั้ดน้อยกวา่ก็อาจถือเป็นการละเมิดได ้ตวัอย่างรวมถึง แต่ ไม่จำ�กัดเพียง: • การให้ความช่วยเหลือที่ ไม่ ใช่ตวัเงิน (In-kind contributions) • โอกาสในการลงทุน • ตาํแหน่งในบรษัิทรว่มคา้ • ผู้รบัเหมาย่อยที่ ไดร้บัเลือกหรอืไดเ้ปรยีบ ข้อห้ามน้ีมีผลใช้บังคบักับส่ิงใดก็ตามที่อาจเอือ้ประโยชน์ตอ่บุคคลโดยตรงหรอื ตอ่บุคคลอื่น เช่น สมาชิกในครอบครวั เพื่อน หรอืผู้รว่มธุรกิจ การให้สิ นบนแก่เจ้าหน้าท่ี ของรัฐ ใครคือเจ้าหน้าท่ีของรฐั “เจ้าหน้าที่ของรฐั” อาจจะเป็นใครก็ตามที่มีอำ�นาจหน้าที่ัสำ�คญัในองคก์รของรฐั หรอืเป็นผู้ที่ทำ�งานให้กับหรอืเป็นตวัแทนขององคก์รที่เป็นของรฐับาลหรอืเป็น องคก์รที่อยู่ภายใตก้ารควบคมุของรฐับาล ตามวตัถุประสงคข์องกฎหมายวา่ดว้ย การตอ่ตา้นการตดิสินบน เจ้าหน้าที่ของรฐัไดแ้ก่: • เจ้าหน้าที่หรอืพนักงานของรฐับาล (รฐับาลกลาง ระดบัรฐั ระดบัท้องถิ่น) กรม หรอืหน่วยงานของรฐับาล • บุคคลใดก็ตามที่ปฏิบัตงิานตามอำ�นาจหน้าที่ของเจ้าหน้าที่รฐัหรอืในนาม ของรฐับาล กรม หรอืหน่วยงานของรฐับาล • พรรคการเมือง เจ้าหน้าที่ของพรรคการเมือง และผู้สมัครชิงตำ�แหน่ง ทางการเมือง • เจ้าหน้าที่และพนักงานขององคก์รเอกชนที่รฐั/รฐับาลเป็นเจ้าของ ควบคมุ หรอืเป็นเจ้าของบางส่วน • เจ้าหน้าที่และพนักงานขององคก์รสาธารณะระหวา่งประเทศ ตวัอย่างเช่น องคก์ารสหประชาชาติ โดยทั่วไปแล้ว การระบุตวัตนของเจ้าหน้าที่ของรฐัสามารถทำ�ได้ ไม่ยาก แตก็่ ไม่ เสมอไป บางครัง้ บุคคลน้ันอาจพิจารณาวา่ตนเองไม่ ใช่เจ้าหน้าที่หรอือาจไม่ ไดร้บัการปฏิบัตเิช่นเจ้าหน้าที่ของรฐัโดยรฐับาลของตนเอง แตพ่วกเขาอาจมี คณุสมบัตติรงตามความหมายของเจ้าหน้าที่ของรฐัที่กำ�หนดไวข้้างตน้ พนักงาน ของ Avient มีหน้าที่ ในการพิจารณาวา่กิจกรรมที่เสนอน้ันเกี่ยวข้องกับเจ้า หน้าที่ของรฐัและเป็นที่ยอมรบัหรอืไม่ และควรปรกึษากับฝ่ายกฎหมายหากมี คำ�ถามหรอืข้อกังวลใด ๆ การติดสิ นบนทางการค้า นอกเหนือจากการห้ามตดิสินบนเจ้าหน้าที่ของรฐัแล้ว Avient ยังไดห้้ามการตดิ สินบนและการทุจรติในการตกลงซือ้ขายเชิงพาณิชย์ดว้ยเช่นกัน พนักงานตอ้ง ไม่เสนอหรอืรบัส่ิงที่มีมูลคา่ใดทัง้สิน้แก่/จากลูกคา้ ซัพพลายเออรห์รอืบุคคล ที่สามใดก็ตามที่มีอยู่หรอืผู้ที่อาจจะเป็นในอนาคต เพื่อการไดม้าซ่ึงธุรกิจที่ ไม่ เหมาะสมหรอืความไดเ้ปรยีบทางธุรกิจที่ ไม่ยุตธิรรมของ Avient ช่ือเสียงของเรา ดา้นความมีศีลธรรมน้ันมีความสำ�คญัเหนือกวา่การบรรลุข้อตกลงทางธุรกิจที่อาจ ไดม้าจากการปฎิบัตทิางธุรกิจที่ ไม่เหมาะสมกับบุคคลหรอืองคก์รอื่น การจ่ายเงินค่าอำ�นวยความสะดวกและเงินส่วนแบ่ง โดยทุจริต (Kickback) การจ่ายเงินคา่อำ�นวยความสะดวกคอื คา่ธรรมเนียมอย่างไม่เป็นทางการที่จ่าย ให้กับเจ้าหน้าที่ของรฐัเพื่ออำ�นวยความสะดวก (เรง่ความเรว็) ของกิจกรรมบาง ประเภท การจ่ายเงินคา่นวยความสะดวกเป็นการกระทำ�ที่คาบเกี่ยวระหวา่งการก ระทำ�ที่ถูกกฎหมายและผิดกฎหมาย เน่ืองจากอาจตคีวามไดว้า่เป็นเงินสินบน โดยทั่วไปแล้ว เงินส่วนแบ่งโดยทุจรติคอืจำ�นวนเงินที่ทำ�การตอ่รองเพื่อให้หัก จากจากการชําระเงินคา่สินคา้ และมอบกลับไปยังผู้รบัสินบน Avient ไม่เสนอหรอืรบัการจ่ายเงินคา่อำ�นวยความสะดวกหรอืเงินส่วนแบ่งโดย ทุจรติใด ๆ ให้แก่หรอืจากเจ้าหน้าที่ของรฐั ลูกคา้ ผู้ขาย หรอืคูค่า้ทางธุรกิจอื่น ๆ พนักงานและบุคคลที่สามตอ้งหลีกเลี่ยงกิจกรรมใดที่อาจนำ�ไปสู่หรอืเป็นการ แนะนำ�วา่ Avient จะให้หรอืยอมรบัการจ่ายเงินคา่อำ�นวยความสะดวกหรอืเงิน ส่วนแบ่งโดยทุจรติ อาจมีสถานการณ์ที่การไม่ยอมจ่ายเงินคา่อำ�นวยความสะดวก 3 หรอืเงินส่วนแบ่งโดยทุจรติ ก่อให้เกิดความเส่ียงตอ่ความปลอดภัยส่วนบุคคล ของผู้รว่มงาน (หรอืครอบครวัของตน) ภายใตส้ถานการณ์เหล่าน้ี โปรดตดิตอ่ เจ้าหน้าที่ฝ่ายจรยิธรรมองคก์ร (ethics.officer@avient.com) หรอืที่ปรกึษา ทั่วไป (legal.officer@avient.com) โดยทันที การทำ�งานกับตัวแทน ผู้ จัดจำ�หน่ายและบุคคลท่ี สามอ่ื น ๆ ในบางครัง้คราว Avient อาจใช้บรกิารจากตวัแทน ผู้จัดจำ�หน่าย ที่ปรกึษาหรอื คนกลางอื่น ๆ เพื่อสนับสนุนกิจกรรมทางธุรกิจของบรษัิท หรอือาจรว่มงานกับ พันธมิตรทางธุรกิจในการลงทุนรว่มหรอืโครงสรา้งทางธุรกิจอื่น ความสัมพันธ์ เหล่าน้ีมีความสำ�คญัตอ่ Avient และมอบความช่วยเหลือที่มีคา่ให้แก่ธุรกิจใน หลาย ๆ ดา้น นอกจากน้ี ไม่วา่การตดิสินบนจะ ทำ�โดยตรงแก่ฝ่ายหน่ึงหรอืผ่านตวัแทน ที่ปรกึษาหรอืคนกลางอื่นใดก็ตาม Avient ในฐานะที่เป็นบรษัิท และบุคคลที่เป็นเจ้าหน้าที่และพนักงานอาจ ตอ้งมีส่วนรบัผิดชอบในการจ่ายเงินที่ ไม่เหมาะสมโดยตวัแทนหรอืคนกลางอื่น ถ้าหากทราบความจรงิวา่หรอืมีเหตผุลที่ทำ�ให้ทราบวา่มีการจ่ายเงินสินบน การ ละเลยโดยเจตนาไม่อาจใช้เป็นข้อตอ่สู้ ได ้ซ่ึงรวมถึงการไม่สอบถามรายละเอียด เพิ่มเตมิตามความเหมาะสมเมื่อเกิดสถานการณ์ที่น่าสงสัย ดว้ยเหตน้ีุ Avient จึงจำ�เป็นตอ้งทำ�การสอบทานธุรกิจของตวัแทนและบุคคล ที่สามอื่นทัง้หลาย ทัง้ก่อนและระหวา่งการรว่มธุรกิจ การสอบทานธุรกิจและกระบวนการอนุมัติ ก่อนที่จะทำ�การวา่จ้างหรอืตอ่อายุข้อตกลงที่มีอยู่กับตวัแทนขาย ผู้จัดจําหน่าย หรอืบุคคลที่สาม อื่น ๆ จะตอ้งไดร้บัการตรวจสอบและอนุมัตทิางกฎหมาย ตดิตอ่พันธมิตรฝ่าย กฎหมายของคณุเพื่อรอ้งขอการสอบทานธุรกิจ และรบัรองวา่คณุไดร้บัการ อนุมัตเิป็นลายลักษณ์อักษรก่อนทำ�งานรว่มกับตวัแทนหรอืบุคคลที่สามใด ๆ เราคาดหวงัให้บุคคลที่สามให้ความยินยอมตามสัญญาที่จะปฏิบัตติามกฎหมาย ABAC บุคคลที่สามบางรายอาจจำ�เป็นตอ้งผ่านการฝึกอบรมการปฏิบัตติามกฎ ระเบียบให้เสรจ็สมบูรณ์ เพื่อลดทอนความเส่ียงให้เหลือน้อยที่สุด Avient จึงจำ�เป็นตอ้งพิจารณาปัจจัย บางอย่าง
