of Products produced specifically for Buyer or which reasonably
cannot be resold by Seller to a third party, the price of such Products
as quoted in Seller’s order confirmation; or (ii) in the case of
Products which can be resold by Seller, damages equal to fifty
percent (50%) of the price for the Products as quoted in Seller’s
order confirmation, as liquidated damages.
Buyer shall disseminate such information so as to give
warning of possible hazards to persons whom Buyer can reasonably
foresee may receive exposure to such hazards, including, but not
limited to, Buyer’s employees, agents, contractors and customers.
Buyer shall be exclusively responsible for (i) ensuring
compliance with all Laws and Standards associated with its intended
use of Product; and (ii) obtaining all necessary approvals, permits or
clearances for such use.
