Buyer must give Seller written notice of the existence of each claim involving Product (whether based on breach of warranty, or otherwise) within the earlier of thirty (30) days after receipt of the quantity of Product forming the basis for the claim or applicable shelf-life expiration, if any (the applicable shelf-life expiration of Products or term of 30 days from receipt or term indicated in writing by Seller to Buyer, whatsoever occurs earlier) (warranty period). Sprzedający ma uzasadnione wątpliwości co do wykonania przez Kupującego jego zobowiązań, a Kupujący nie zapewnieni odpowiednio Sprzedającego o ich wykonaniu przed datą planowanej dostawy, a w każdym razie w ciągu trzydziestu (30) dni od zażądania przez Sprzedającego takiego zapewnienia; lub (iii) jeśli Kupujący nie będzie w stanie spłacić swoich długów w terminie ich wymagalności, lub jeśli zostanie postawiony w stan likwidacji, lub jeśli zostanie wyznaczony powiernik, syndyk lub zarządca dla całości lub znacznej części aktywów Kupującego; lub (iv) w przypadku niestosowania się przez Kupującego do jakichkolwiek obowiązujących przepisów prawa, ustaw, rozporządzeń, kodeksów lub norm („Przepisy Prawa i Normy”), Sprzedający może w drodze pisemnego zawiadomienia Kupującego, bez uszczerbku dla innych przysługujących mu praw: (a) zażądać zwrotu i przejąć w posiadanie wszelkie dostarczone Produkty, za które nie zapłacono, a wszelkie koszty związane z odzyskaniem Produktów obciążą Kupującego; lub (b) zawiesić wykonanie lub wypowiedzieć potwierdzenie zamówienia na oczekującą dostawę Produktów, chyba że Kupujący dokona takiej płatności za Produkty na zasadzie przedpłaty gotówkowej lub dostarczy Sprzedającemu odpowiednie zabezpieczenie takiej płatności za Produkty.
